Terms & Conditions - Super Agent Promotion

  • Information on how to enter forms part of these conditions of entry. Participation in this promotion (the ‘Promotion’) constitutes acceptance of these conditions of entry.
  • The Promoter is Cadbury UK, a partnership between Cadbury UK Limited, Trebor Bassett Limited and The Old Leo Company Limited, at Cadbury House, Sanderson Road, Uxbridge, UB8 1DH, United Kingdom.
  • Entry is open only to UK residents aged 18 years and over. All Agents, Super Agents and team members must be aged 18 years and over.
  • Directors, management and employees (and the immediate families of directors, management and employees) of the Promoter or the agencies or companies associated with this Promotion are ineligible to enter.
  • The Promotion begins at midday on 15th May 2009.
  • There are two stages to the Promotion: Stage 1 is the application and recruitment of the Super Agents which opens on at midday 15 May and closes at midnight on 7 June 2009 (“Application Period”). Stage 2 is the phase in which ten selected Super Agents must undertake, complete and promote the solving of clues to find the Goo. Stage 2 opens at midday on 11 June and closes at midnight on 5 July 2009 (“Promotion Period”).
  • In the event of a tie-break situation at the end of Stage 2, the Promoter reserves the right to set a further challenge, to up to three Super Agents, in order to establish a final winner starting at midday on 8 July 2009 and closing at midnight on 19 July 2009 (“Tie-break Period”).
  • There is one prize available to be won, consisting of £20,000 sterling (the “Prize”).
  • The winning Super Agent will be awarded the Prize.
  • The winning Super Agent will be contacted by Focus PR by phone and by email, no later than midnight on 21 July 2009.
  • Submissions at both stages 1 and 2 (and if necessary, the Tie-break Period) will be judged by a panel from the Cadbury Marketing and Focus PR teams. In all circumstances and stages, the judges’ decision is final.
  • To enter, individuals must, by midnight on 7 June 2009:

    • be registered and participating as “Agents” (as defined in the Twisted online Goo on the Loose game) at http://www.cremeeggtwisted.com/#/mission/
    • submit applications to become “Super Agents” (‘Applications’) online at www.cremeeggtwisted.com/SuperAgents.aspx
    • Applications must be no more than 300 words, in English, and can include links to up to three photographs hosted on www.flickr.com, and one piece of video footage hosted on www.youtube.com (must not exceed two minutes).
    • Applications must show creativity, explain why you should be selected as a Super Agent, and how you would promote your search for the Goo.
    • all entrants must supply the following correct personal data at registration, including full name, postal address, email address and telephone number which they consent to being used by the Promoter and its PR Agency for the purposes of administration of this competition (see below for data protection and privacy policy details).
  • All applicants must have internet access.
  • Ten Super Agents will be selected by 5pm on 8 June 2009. The judges will look for high levels of creativity and exciting, focused content.
  • Those individuals chosen to be Super Agents will be notified by midday on 9 June 2009 by telephone and email by Focus PR on behalf of the Promoter.
  • Once contacted, Super Agents must respond by phone or by email to the contact details given to them, within 24 hours, confirming that they will participate. If the selected Super Agent has failed to respond (or their contact details have been found to be invalid so they cannot be reached) by midday on 10 June 2009, said Super Agent will be deemed to have forfeited their right to participate and the opportunity will be withdrawn and may be offered to another Super Agent.
  • Participating Super Agents will be issued with Flip cameras and full briefing packs within 24 hours of acceptance.
  • Super Agents must be available to solve clues and take on challenges at various locations around the UK during the Promotion Period between 11 June 2009 and 5 July 2009 (inclusive).
  • Super Agents must also be available to solve extra clues and take on challenges at various locations around the UK during the Tie-break Period between 8 July 2009 and 19 July 2009 (inclusive) if required.
  • Please note that no compensation for time off work or cost of other commitments (including childcare) will be given.
  • Super Agents will be notified of a tie-breaker situation by midday on 8 July 2009.
  • To compete for the £20,000 Prize:

    • Super Agents must record and upload footage of clue-solving & related challenges, using the Flip video cameras supplied (onto Youtube).
    • Super Agents must solve and travel to at least two of the six online clue destinations issued during the Promotion Period (between 11 June and 5 July 2009).
    • Super Agents must upload at least one piece of video footage, plus at least 3 photos, per week throughout the Promotion Period.
  • During the Promotion Period, points and bonus points will be awarded by the judges for speed of solving each clue and uploading footage/photography, creative content, Twisted brand mentions, evidence of product placement and media coverage generated, blogs, tweets, number of views of footage, followers etc. Penalty points will be deducted for lack of the same. Specific guidance on these criteria will be sent to each of the 10 finalists in their briefing pack and posted on the Twisted website when stage 2 commences.
  • The winning Super Agent will be selected according to the number of points scored based upon the above criteria, by midnight on 5 July 2009. The judges’ decision is final.
  • Super Agents must be willing to supply Cadbury/Focus PR with any materials on request, such a photography and footage generated throughout the challenge, for promotional use.
  • Super Agents must, at the Promoter’s request, participate and procure that all Participants participate, in all promotional activity (such as publicity and photography) surrounding the Promotion, free of charge, and they consent to the Promoter using their name and image in promotional material.
  • Super Agents may recruit a team of up to three friends to help them with their mission. There is only one Prize available (£20,000) and it will be left to the discretion of the Super Agent to split the Prize out to other team members. The Super Agent MUST inform any friends assisting them with the challenge that there is a prize of £20,000 available to be won and supply them with, and ensure that they comply with, these terms and conditions.
  • All spending money, meals, travel and transfers for challenges and all other ancillary costs incurred during the Promotion Period are the responsibility of the Super Agents.
  • The Promoter accepts no responsibility for late, lost, incomplete, incorrectly submitted, delayed, illegible, corrupted or misdirected First Applications and Second Applications (the ‘Applications’), claims or correspondence whether due to error, omission, alteration, tampering, deletion, theft, destruction, transmission interruption, communications failure or otherwise.
  • The Promoter and its associated agencies and companies will not be liable for any loss (including, without limitation, indirect, special or consequential loss or loss of profits), expense or damage which is suffered or sustained (whether or not arising from any person’s negligence) in connection with this Promotion, except for any liability which cannot be excluded by law including death, personal injury and fraud (in which case that liability is limited to the minimum allowable by law).
  • The Prize is not transferable or exchangeable and cannot be redeemed for any other form of compensation. In the event for any reason the prize winner does not take the prize at the time stipulated by the Promoter, then the prize will be forfeited by the winner and no form of compensation will be supplied instead. If for any reason the prize becomes unavailable or unreasonable or unlawful to provide, the Promoter reserves the right to substitute another prize for it, in its sole discretion, of equal or higher value.
  • If for any reason any aspect of this Promotion is not capable of running as planned, including by reason of force majeure, an act of terrorism, riot, infection by computer virus, network failure, bugs, tampering, unauthorised intervention, fraud, technical failures or any cause beyond the control of the Promoter which corrupts or affects the administration, security, fairness, integrity or proper conduct of this competition, the Promoter may in its sole discretion cancel, terminate, modify or suspend the competition, or invalidate any affected entries, where required.
  • In the event of the prize not being accepted or claimed within 3 months of it being won, the relevant prize winner’s entry will be deemed invalid and the Promoter reserves the right either: to select another winner from the remaining Super Agents’ entries; or in the event that no other entry meets the necessary criteria, not to award the Prize.
  • The Promoter may publish the name and the county of residence of the winner on its website or in a trade publication. The winner’s and runner-up (Super Agent`s) details, (name and county), will be made available on request to those writing to TWISTED Promotion, TWISTED Brand Manager, Cadbury Holdings Ltd, Cadbury House, Sanderson Road, Uxbridge, Middlesex UB8 1DH within 10 weeks after the published Closing Date, enclosing a SAE.
  • All Applications must be the entrant’s original creation. By submitting the Applications and subsequent footage during the Promotion Period, the entrant affirms that their submissions:

    • are their own original work and that they have obtained the written consent, release and/or permission of all identifiable individuals in the Entry (unless incidental inclusion) to enable inclusion of the Entry in the manner contemplated by the Promotion and these Terms;
    • does not contain any material which: (i) is offensive and/or derogatory, (ii) is of a pornographic and/or sexual nature, or (iii) is defamatory, libellous, obscene, or (iv) is otherwise illegal;does not contain any material which violates any third party intellectual property rights (including, but not limited to, copyright, trade marks, or any other proprietary or personal right); anddoes not contain any trade/brand logos or references other than incidental inclusion and/or relating to the Promoter’s products.
  • The Promoter reserves the right to refuse to accept and/or to remove from the websites displaying materials from Applications any materials in any Applications the Promoter deems, at its sole discretion, at any time either (i) not to comply with the Terms of this Promotion as set out herein or (ii) to go against the spirit of the Promotion. If any element of an Application breaches these Terms, the whole Application and entrant will be disqualified, regardless of the stage the entrant has reached in the Promotion.
  • By submitting Applications and by agreeing to take part in the Promotion entrants hereby grant the Promoter a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to use, reproduce, distribute, prepare derivative works of, display, broadcast and perform any elements of the Applications, deemed to commence at the moment of submission of each of the Applications, and ending on 31 July 2010.
  • Entrants hereby agree they irrevocably waive any moral rights they may have in the Applications.
  • By entering the Promotion, all entrants will be deemed to consent to the use of their personal data by the Data Controller for the purposes of the administration of this Promotion and any other purposes to which the entrant has consented.   • These terms and conditions shall be governed by English law and the courts of England and Wales shall have exclusive jurisdiction.
